AUTHORIZATION TERMS

DATED, As Of January 1, 2024

I, hereby authorize UNIVERSAL ROYALTY EXCHANGE to act on my behalf with respect to administering, managing, and maintaining my account concerning my Needletime and/or Neighboring Rights in South Africa and other similar territories in Africa, in which I may have Needletime and/or Neighboring Rights royalties. The rights and permissions granted herein include but are not limited to, claiming repertoire; executing Letters of Direction; amending Receiver’s contact information, and collecting foreign royalties claimed by Universal Royalty Exchange, according to this agreement signed by me or the following authorized individual or entity. For the avoidance of doubt, this Account Authorization Form in no way authorizes Universal Royalty Exchange to administer the featured performer’s account at collecting societies other than Universal Royalty Exchange or to otherwise collect the featured performer’s foreign royalties at collecting societies other than Universal Royalty Exchange.

This Authorization Form is effective as of the date set forth above and may be revoked by me at any time for any reason. Each signatory below hereby confirms that Universal Royalty Exchange, and each of its directors, officers, employees, agents, representatives, successors, and assigns (“Affiliates”) may rely on this Authorization Form until notified of revocation through Universal Royalty Exchange Revocation of Authorization Form signed by me. Each signatory below hereby agrees to indemnify and hold Universal Royalty Exchange and each of its Affiliates harmless from and against any and all claims, liabilities, losses, damages, suits, and expenses, including, without limitation, costs and reasonable attorney’s fees, arising in connection with or related to this Authorization Form. This Authorization Form shall be governed by and construed in accordance with the laws of the State of New York.

If any term or provision of this Agreement is invalid, illegal, or unenforceable in any jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other term or provision of this Agreement or invalidate or render unenforceable such term or provision in any other jurisdiction. This Agreement constitutes the sole and entire agreement with respect to the subject matter contained herein, and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to such subject matter.
